**Please note:** This document explains the operational framework, dispatch expectations, electrical liability, and quotation stability terms when dealing with HeartShield Safety Systems inside Ireland. Please read thoroughly before checkout.

## 1. Introduction & Office Information

Welcome to HeartShield Ltd. These Terms and Conditions ("Terms", "Agreement") govern your access to and use of our websites, located at https://heartshield.ie and our online store at https://shop.heartshield.ie, and any services or products purchased from us.

By accessing or using our websites, or by requesting a quote or placing an order, you agree to be bound by these Terms. If you do not agree to all of these Terms, please do not use our websites.

## 2. Website Use & Acceptable Behaviour

You agree to use our websites only for lawful purposes related to buying or learning about public-access medical equipment, emergency checklists, cabinets, and training services.

You are strictly prohibited from:

- Using the websites in any way that causes, or may cause, damage to the websites or impairment of web accessibility.
- Using the websites to host, transmit, or distribute malicious computer software (spyware, custom viruses, Trojan horses).
- Conducting systematic data collection activities (scraping, data mining, extraction) without our express written consent.

## 3. Quotations & Sales Proposals

Any quotation or custom package price provided through our online Quote Request systems, email channels, or phone calls is an invitation to treat and is subject to clinical safety suitability confirmation.

- **Validity:** Unless explicitly stated otherwise, a custom invoice quotation is valid for 30 days from the original generation timestamp.
- **No binding contract:** A quotation does not constitute a legally binding supply agreement until HeartShield Ltd formally issues an Order Confirmation and payment terms have been structured.
- HeartShield Ltd reserves the right to retract or adjust a quotation if equipment availability changes or logistical parameters shift within Ireland.

## 4. Product Information & Disclaimers

We strive to display precise technical information regarding Mediana A15 Automated External Defibrillators, heated outdoor cabinets, and locator signs. However, we do not guarantee total representation accuracy. In the event of an obvious pricing or description error on our online store, we reserve the right to cancel the affected order prior to dispatch and issue a full refund.

Please note:

- Medical equipment operates in critical emergency conditions. All users should strictly adhere to official operating manuals, diagnostic check routines, and medical response directives.
- Heated cabinets must be installed by a fully certified local electrician to ensure proper rating, insulation, and Irish electro-safety regulatory compliance.

## 5. Orders, Dispatch & Payments

By placing an order or finalising an online checkout, you execute a purchase request. All orders are subject to acceptance by HeartShield Ltd.

- **Acceptance:** An order is deemed accepted only when you receive an electronic invoice and order dispatch confirmation from our logistics team.
- **Irish delivery:** Dispatch covers all 32 counties. Delivery estimates are made in good faith but may be subject to severe weather, local roadblocks, or global medical supply bottlenecks.
- **Currency:** Unless stated, all commercial values and transactions are settled in Euro (€). VAT is calculated at standard Irish Revenue rates where applicable.
- **Subscriptions:** The 12-Month Rescue Ready Coverage Plan renews automatically each year unless cancelled before the renewal date. Cancellation and refund terms for subscriptions and services are set out in our Returns & Refunds Policy.

## 6. Intellectual Property Rights

All assets, including our logo, name, layout text, custom illustration graphs, icon bundles, custom calculators, and digital source code on our websites are owned by HeartShield Ltd or licensed partners. These assets are protected by Irish and international trademark and intellectual property legislation. You may view or print individual materials only for personal use or internal AED evaluations.

## 7. Limitation of Liability

To the maximum extent permitted by applicable Irish legislation, HeartShield Ltd and its directors, volunteers, and safety advisors shall not be liable for any indirect, incidental, or exemplary damages arising from:

- The use of, or inability to use, our public safety portal, emergency tools, and AED accessories.
- Improper layperson action, cardiac safety kit deployment failures, or neglect in completing routine battery and pad self-checks.
- Delays in professional emergency service response times or failure to carry out the clinical chain of survival.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for liability under the Liability for Defective Products Act 1991, or for any other liability that cannot be excluded or limited under Irish law. Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2022.

## 8. Links to Third-Party Websites

Our web platforms may display links to diagnostic software, public CPR tutorials, parish safety boards, or global clinical databases. HeartShield Ltd has no authority over, and accepts no responsibility for, the content, cookies, privacy policies, or practices of any external web portals. You visit them at your own risk.

## 9. Privacy & Cookie Compliance

Our collection and usage of your personal information, including form inputs, custom quotes, maintenance requests, and browser cookie preferences, is regulated in our GDPR-compliant Privacy Policy. By agreeing to these Terms, you also acknowledge your understanding of our data processing security frameworks.

## 10. Governing Law & Jurisdiction

These Terms & Conditions and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by, and construed in accordance with, the laws of **Ireland**. The courts of Ireland shall have exclusive jurisdiction to settle any legal dispute arising from this agreement.
